Hi, we incorporated as a company limited by guarantee in 2008. At the time there were three subscribers who signed the memo/articles. We then became a charity in 2011, and the first three subscibers resigned via Companies House (where we were listed as Directors) because we were all employed by the company. So, we appointed three new people to act as Directors / Trustees. These three signed the new model articles to reflect the charitable purpose of the company. All three have since resigned and we currently have 2 Directors.
In this situation, who are the Members of the Company? I have been told that the very first subscribers are still the Members and that they need to be removed? I have no idea how to do this if it is necessary as on Companies House, they are all showing as resigned already. We havent filed our charity memo/articles with Companies House, which i understand we should have done? Can anyone give me an idiots guide to these two questions and idea of how much trouble we may be in!
